WHEREAS, Discloser possesses certain confidential information that is proprietary to its business and desires to disclose the information to Recipient for the purpose of ____ [Insert Purpose of Disclosure]; and

WHEREAS, Recipient is willing to receive such confidential information from the Discloser for the stated purpose, subject to the terms and conditions of this Agreement.

  1. Confidential Information: For purposes of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which Discloser is engaged. Confidential Information does not include information that, at the time of disclosure, is: (a) in the public domain; (b) known to the Recipient; (c) rightfully obtained by the Recipient on a non-confidential basis from a third party; or (d) independently developed by the Recipient without use of or reference to the Discloser’s Confidential Information.
  2. Non-use and Non-disclosure: Recipient agrees not to use the Confidential Information for any purpose except the purpose stated above in this Agreement. Recipient shall not disclose any of the Confidential Information to third parties or to Recipient's employees, except to those employees who are required to have the information in order to carry out the stated purpose.
  3. Protection of Confidential Information: Recipient agrees to take reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information in order to prevent it from falling into the public domain or the possession of persons other than those persons authorized hereunder to have any such information. Such measures shall include the highest degree of care that Recipient utilizes to protect its own Confidential Information of a similar nature.
  4. Term: The obligations of Recipient hereunder shall survive until such time as all Confidential Information disclosed under this Agreement falls into the public domain through no fault of the Recipient or is returned to the Discloser.
  5. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without giving effect to any principles of conflicts of law.
  6. Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all previous agreements and understandings, whether oral or written.
  7. Amendment: No amendment, modification or addition to this Agreement shall be valid unless in writing and signed by both parties.
