This Hold Harmless Agreement ("Agreement") is made on this ___ day of __________, 20__, by and between __________________________________________________________________ ("Releasor"), and __________________________________________________________________ ("Releasee"), collectively referred to as the "Parties".

WHEREAS, the Releasor agrees to hold the Releasee harmless from any and all claims, injuries, damages, losses, or suits including attorney fees, arising out of or in connection with the performance of the Releasor, except for any negligence or willful misconduct by the Releasee.

UNDERSTANDING, that this Agreement is governed by the laws of the State of Colorado, without regard to its conflict of laws principles.
